USA Badminton Seeking Volunteers for Nominating & Governance Committee

COLORADO SPRINGS, Colo. – USA Badminton is looking for volunteers interested in joining the USA Badminton Nominating & Governance Committee.

The nominating and governance committee will review all applications. The nominating and governance committee is composed of Jenny Chan, Iris Wang, Yvonne Chern, David Shaw, and Liz Aronsohn.
The Nominating and Governance Committee shall be appointed and have the responsibilities as follows:
- The Nominating and Governance Committee shall have up to six (6) members and will be formed as follows:
- One (1) individual will Chair the Nominating and Governance Committee and will be appointed by the Board of Directors
- One (1) individual who is elected by the previous Nominating and Governance Committee
- One (1) individual who is independent as defined in Section 7.7, who is elected by the Board of Directors.
- One (1) or two (2) athletes, who are appointed by the USAB ARC, in accordance with the Ted Stevens Act (33.3% athlete participation) and Sections 7.4 and 9.4.
- If the Nominating and Governance Committee has three (3) members, then Sections 9.15.a.1, 9.15.a.2 and 9.15.a.4 shall apply.
- The Nominating and Governance Committee shall:
- Identify and evaluate prospective candidates for the Board;
- Recommend individuals to serve on the Board as provided in these Bylaws;
- Recommend, as requested by the Board, individuals to serve on various committees, advisory groups, and task forces;
- Consult with the Ethics Committee with respect to vetting all nominations for potential conflict of interest or other problematic background issues;
- Develop and recommend to the Board for its consideration an annual self-evaluation process of the Board and its committees and task forces;
- Perform such other duties as assigned by the Board.
- In considering a candidate for nomination to the Board, the Nominating and Governance Committee takes into consideration the following:
- The candidate’s contribution to the effective functioning of USAB;
- Any potential or impending change in the candidate’s principal area of responsibility with their company or in his or her employment;
- Whether the candidate continues to bring relevant experience to the Board;
- Whether the candidate can attend meetings and fully participate in the activities of the Board;
- The candidate’s reputation for personal integrity and commitment to ethical conduct;
- Whether the candidate has developed any relationships with another organization or other circumstances have arisen that might make it inappropriate for the director to continue serving on the Board; and
- Any other qualification the Nominating and Governance Committee deems appropriate to select a qualified and capable director.
